The Annual General Meeting (AGM) of Tata Sons Private Limited, the holding company of the Tata Group, which was scheduled for Tuesday (August 18, 2026), was for the first time in the company’s history adjourned due to lack of quorum, people privy to the development said.
The Tata Sons Board is expected to meet in a few weeks to decide on the next date of the AGM, the persons added.
The AGM was convened at 2.30 p.m. at Bombay House, the headquarters of Tata Sons, but had to be adjourned after a half-an-hour break, as per norms.
Those who attended the meeting in person included Tata Sons Chairman N. Chandrasekaran, Tata Sons Board members Saurabh Agarwal and Anita M. George.
As per the Tata Sons Articles of Association, a jointly nominated representative of Sir Dorabji Tata Trust (SDTT) with a holding of 27.98% and SRTT is required for quorum.

Virtual attendance
Board members Noel Tata, who is also the chairman of Tata Trusts, Venu Srinivasan and Harish Manwani attended virtually, as were other shareholders, a person privy to the meeting said. The AGM was adjourned, as Sir Ratan Tata Trust (SRTT), the second largest shareholder in Tata Sons with 23.56%, could not nominate a member for the meeting due to an ongoing inquiry and curbs by the Maharashtra Charity Commissioner.
As per the Tata Sons Articles of Association, a jointly nominated representative of Sir Dorabji Tata Trust (SDTT) with a holding of 27.98% and SRTT is required for quorum. Since both the Trusts hold a 51.54% stake in Tata Sons, the legal requirement was not met.
The issue is about the composition of the trustees of SRTT and the Maharashtra Charity Commissioner, who has imposed restrictions on the trust since May 2026 after receiving complaints that three of the six trustees were lifetime or perpetual appointees.
According to Section 30A (2) of the Maharashtra Public Trusts Act, amended in September 2025, the total number of lifetime trustees must be one-fourth (25%) of the total appointees.
Since this ratio was 50% in the case of SRTT, the Charity Commissioner had ordered an inquiry. The matter is scheduled for hearing on September 8, 2026. Till that time, SRTT is barred from holding any board meetings or nominating anyone to any meeting or passing any resolution.
The AGM was to consider the financial statements of FY26, the dividend approved by the board and the reappointment of Mr. Chandrasekaran as a member of the board.
Mr. Chandrasekaran has decided to step down and not to seek reappointment at the end of his tenure in February 2027.
