EXCLUSIVE: HDFC Bank CEO race: Kaizad Bharucha, Anup Bagchi shortlisted as internal, external candidates

Jagdishan has decided not to seek reappointment, despite the board having persuaded him to reconsider.Bharucha has been with HDFC Bank since 1995 and has more than 35 years of banking experience. He has been a whole-time director on the HDFC Bank board since 2014 and was appointed Deputy Managing Director in April 2023.Over his career, Bharucha has held senior roles across corporate banking, business banking and retail assets, giving him extensive experience across HDFC Bank’s core businesses. His selection would provide the bank with an internal succession option and continuity at the senior management level. However, Bharucha’s candidature comes with a regulatory tenure constraint. This would mean Bharucha’s current eligibility would run only until 2029, potentially limiting him to around three years in the CEO role. He has also served as an Executive Director on the board of ICICI Bank.

Private lender HDFC Bank ’s search for its next Managing Director and Chief Executive Officer has narrowed to two candidates - Kaizad M Bharucha, the bank’s Deputy Managing Director, and Anup Bagchi, MD and CEO of ICICI Prudential Life, according to sources familiar with the matter.Bharucha is the internal candidate shortlisted by HDFC Bank, while Bagchi is the likely external candidate shortlisted by the board, sources said.Responses from Anup Bagchi and HDFC Bank were awaited at the time of publication. The development comes as HDFC Bank prepares for a leadership transition, with current MD and CEO Sashidhar Jagdishan’s second term ending in October 2026. He has already spent more than 13 years as a whole-time director on HDFC Bank’s board, having joined as Executive Director in 2014.RBI rules cap the aggregate tenure of a whole-time director, including an MD and CEO, at 15 years. This would mean Bharucha’s current eligibility would run only until 2029, potentially limiting him to around three years in the CEO role. If the HDFC Bank board seeks a full three-year term beyond the applicable tenure limit, Bharucha would need the RBI to grant an exemption.Bagchi, the MD and CEO of ICICI Prudential Life, has more than 30 years of experience across banking, capital markets and insurance. He has held senior roles across retail, MSME and corporate banking, as well as treasury and credit policy.Bagchi is an ICICI Group veteran and was earlier MD and CEO of ICICI Securities. He has also served as an Executive Director on the board of ICICI Bank. His experience across banking, capital markets and insurance makes him the key external candidate in the HDFC Bank succession process. The appointment of HDFC Bank’s next MD and CEO will be subject to regulatory approval, including from the Reserve Bank of India. The shortlist brings the long-running uncertainty around HDFC Bank’s leadership transition closer to a conclusion, after months of speculation over Sashidhar Jagdishan’s reappointment and the search for his successor. The latest development suggests that the succession process is moving towards a decision, with the RBI expected to decide on the next MD and CEO shortly. Sources indicate that the central bank could clear the appointment within one to two weeks.Jagdishan’s exit date of October 26 leaves the bank with a relatively defined timeline for the transition. The board’s final choice and the RBI’s decision will determine who takes charge of the country’s largest private-sector bank after Jagdishan. The RBI’s decision and the board’s final choice will therefore be the next key triggers for the stock.
