Yum! Brands to sell Pizza Hut in two deals worth $2.7 billion, with LongRange Capital buying ex-China operations and Yum China acquiring the China business.
Yum! said it expects to receive around $2.3 billion in net proceeds after taxes, transaction fees and closing adjustments, excluding a potential earn-out payment.
Global quick-service restaurant giant Yum! Brands has agreed to sell its Pizza Hut businesses in two separate transactions worth a combined $2.7 billion, marking a major portfolio reshaping exercise aimed at sharpening its focus on core growth brands and returning capital to shareholders.
The Louisville, Kentucky-based company announced on Tuesday that it has entered into definitive agreements to divest Pizza Hut operations outside Mainland China to private equity firm LongRange Capital for about $1.5 billion, while Pizza Hut China will be acquired by Yum China Holdings for about $1.2 billion.
The transactions, which follow a strategic review initiated in November 2025, are expected to close in the third quarter of 2026, subject to regulatory approvals and customary closing conditions.
“These transactions enable Yum! to be a more focused company that continues to leverage scale, technology and talent and deliver sustained value for our stakeholders," said Chris Turner, Chief Executive Officer, Yum! Brands.
“Under LongRange and Yum China, Pizza Hut will be well positioned for future growth with ownership that brings deep expertise in the restaurant industry," he added.
Following this, shares of Pizza Hut franchise operators Sapphire Foods India Ltd and Devyani International Ltd declined. Sapphire Foods shares fell 1.05 per cent to Rs 179.77 in early trade, while Devyani International declined 1.40 per cent to Rs 112.58.
Net Proceeds of $2.3 Billion
Yum! said it expects to receive around $2.3 billion in net proceeds after taxes, transaction fees and closing adjustments, excluding a potential earn-out payment.
As part of the deal, the company could receive an additional $75 million earn-out from LongRange Capital by 2030, subject to certain performance conditions.
The company also expects to incur around $85 million in one-time separation costs during the remainder of 2026 to complete the transactions.
Following the completion of the deals, Yum! will no longer report Pizza Hut as a separate business division.
$4 Billion Share Repurchase Authorisation
Alongside the sale announcement, Yum!’s board approved an additional $4 billion share repurchase programme, underscoring its commitment to returning excess capital to shareholders.
“The net after-tax proceeds will be used in accordance with the Company’s capital allocation strategy, including investing in the business and returning excess capital to shareholders," the company said.
Focus on KFC and Taco Bell Growth
Yum! said it will continue to provide Byte by Yum!, its proprietary technology platform, to Pizza Hut’s business outside China and will offer certain corporate support services during a transition period to ensure an orderly separation.
The company also reiterated its commitment to its partnership with Yum China. Both companies have agreed on financial incentives aimed at accelerating sales growth at KFC China and will continue collaborating on long-term expansion plans for Taco Bell in Mainland China.
Global Presence
Yum! Brands owns and franchises several leading quick-service restaurant brands, including KFC, Taco Bell, Pizza Hut and Habit Burger & Grill. The company operates more than 63,000 restaurants across 155 countries and territories.
In India, Yum! Brands operates through KFC, Pizza Hut and Taco Bell, with more than 2,000 outlets run by franchise partners and company-owned entities.
The company said it will provide additional details regarding the financial impact of the transactions and any changes to its 2026 outlook during its second-quarter earnings call scheduled for July 30, 2026.
