IDBI Bank sale move faces call for review on governance, sovereignty grounds

The United Forum of IDBI Officers and Employees has expressed profound concern over the Centre’s reported decision to proceed with strategic disinvestment of controlling stake in IDBI Bank in favour of Fairfax Financial Holdings, subject to regulatory and statutory approvals.

This development is not merely a commercial transaction, Devidas Tuljapurkar, Convenor; Vithal Koteswara Rao AV and Ratnakar Wankhade, Joint Convenors of the United Forum, pointed out in a communication to businessline. It concerns also ownership and control of one of the country’s strategically important financial institutions and raises questions touching upon constitutional governance, economic sovereignty, parliamentary accountability and long-term national interest.

Historic role

IDBI Bank was established as an institution for national development. Over the decades it played a historic role in financing industrialisation, infrastructure development and nation-building. During periods of financial stress, substantial public resources were deployed for its revival, the Forum leaders said. Employees and officers accepted difficult restructuring measures and worked tirelessly to restore the institution to profitability. Today, when the bank has returned to sustained profitability and financial stability, proposal to transfer ownership raises serious questions of public policy.

The Forum believes that the proposed sale runs contrary to declared national objective of building an Atmanirbhar Bharat. Financial sovereignty constitutes an essential pillar of national sovereignty. The banking system mobilises hard-earned savings of millions of citizens and channels them towards national development. Transferring effective control of such an institution to foreign financial capital requires the highest degree of public scrutiny.

The Forum further recalls that during the process of corporatisation and restructuring of IDBI, assurances were given before Parliament regarding future of the institution and protection of public interest. Such assurances create a legitimate expectation that any departure from the stated policy would be preceded by due parliamentary deliberation, transparency and accountability.

Directive Principles

The proposed strategic sale also raises issues concerning the Directive Principles of State Policy, particularly Articles 38 and 39(b) of the Constitution, which require the State to promote social and economic justice and ensure that the ownership and control of material resources are distributed to subserve the common good. Whether the transfer of control of a strategically significant public financial institution advances these constitutional objectives deserves careful examination through democratic processes.

Institutional revival

The Forum is also concerned that the proposal represents a broader policy trend whereby institutions revived through public investment are subsequently transferred to private ownership after the risks have been absorbed by the public. Such an approach gives rise to a perception that public resources are utilised for institutional revival while future gains are transferred to private ownership. This perception warrants serious public debate.

The Forum therefore calls upon the Government of India to:

1. Immediately place the complete proposal relating to the strategic sale of IDBI Bank in the public domain.

2. Review the decision in light of India’s long-term financial and economic sovereignty.

3. Honour the assurances made before Parliament during the restructuring of IDBI.

4. Ensure comprehensive parliamentary discussion before any irreversible decision is taken.

5. Protect the interests of employees, depositors, customers and the wider national economy.

6. Preserve public ownership of strategically important banking institutions serving national developmental objectives.

Broader debate

The Forum appeals to all Members of Parliament, State Legislatures, constitutional authorities, economists, jurists, trade unions, banking experts and every citizen committed to constitutional values and national self-reliance to participate in a broad national debate before any final decision is implemented.

The future ownership of India’s strategic financial institutions is not merely an issue of disinvestment. It concerns the future architecture of India’s financial system, economic sovereignty and constitutional commitment to ensuring that the nation’s material resources continue to serve the larger public interest.
