Sudhir Sitapati (DIN: 09197063), Managing Director & Chief Executive Officer of the Company, vide his email dated August 10, 2026, has tendered his resignation from directorship (Managing Director & Chief Executive Officer) of the Company, with effect from August 11, 2026.
The Nomination and Remuneration Committee and the Board of Directors of the Company took note of the said resignation on August 11, 2026.
The email received from Mr. Sudhir Sitapati is enclosed herewith as Annexure 'B'.
The Board of Directors thanked Sudhir for the bold thinking he had brought to GCPL over the last five years and wished him success for future.

Consequent to his resignation from the Board, he shall also cease to be a Member of the Corporate Social Responsibility Committee, Environment, Social & Governance (ESG) Committee, Risk Management Committee and Management Committee of the Board of Directors of the Company and the Ordinary Resolution passed by the Shareholders of the Company at the 26th (Twenty Sixth) Annual General Meeting held on August 7, 2026 approving his reappointment stands ineffective and shall not be acted upon. The Nomination and Remuneration Committee and the Board of Directors of the Company took note of the said resignation on August 11, 2026.
